GoodNeighbor Pro — Independent Contractor Agreement

Version: Pilot v1.0 — October 20, 2026
Between: GoodNeighbor (operated by Cleaning Guys LLC, Bakersfield, California) — "GoodNeighbor"
And: The undersigned service provider — "Pro," "you"
Contact: (661) 371-4804

GoodNeighbor is a marketplace that introduces independent local service providers ("Pros") to customers for everyday tasks. By signing this agreement and accepting jobs through GoodNeighbor, you agree to the following.

1. Independent contractor status

  • You are an independent contractor, not an employee, agent, or partner of GoodNeighbor. Nothing in this agreement creates an employment relationship.
  • You are in business for yourself: you may work for anyone else, including your own customers and other platforms, and you control how the work is done — your methods, your tools, your route, and the order of tasks — within the scope the customer agreed to.
  • You choose which jobs to accept, which categories to work in, which areas to cover, and when you are available. Declining a job never penalizes you, though repeated late cancellations or no-shows may end your access to the platform (Section 12).
  • You are 18 or older and legally authorized to work in the United States.

2. Verification before your first job

Before your first job you must complete: (a) phone verification, and (b) an identity check (government-issued photo ID reviewed by GoodNeighbor), and (c) an IRS Form W-9. You consent to this verification in the separate Verification Consent. You will keep your profile information (categories, areas, vehicle/tools, availability) accurate.

3. The work

  • Covered categories only: Yard Work & Outdoor Help; Cleaning & Household; Moving & Lifting; Business & Event Help; Junk Removal.
  • You will never perform, through GoodNeighbor: licensed trade work you are not licensed for, hazardous work or materials handling, childcare/caregiving, or anything illegal. If a customer asks for excluded work, decline it and tell GoodNeighbor.
  • You provide your own tools, equipment, supplies, and vehicle, and you are responsible for their costs (fuel, dump fees, materials) unless a per-job confirmation states otherwise in writing.

4. Fees and payment — read this carefully

  • GoodNeighbor charges a 20% marketplace fee on the Pro side of each completed job.
  • Worked example: a $100 job → customer pays $100 → you receive $80 → GoodNeighbor keeps $20.
  • The customer pays exactly the agreed price; the fee is never added to the customer's price and is never charged on jobs that are not completed and paid.
  • There are no fees to join and no subscription.
  • Timing: GoodNeighbor pays you after the customer confirms the work is complete and satisfactory and their payment clears — target the same day as customer confirmation, and no later than 2 business days after, except where a dispute is open (Section 9).
  • Jobs are paid through GoodNeighbor only. Accepting cash, Venmo, Zelle, or any direct payment from a customer you met through GoodNeighbor for that work is a breach of this agreement (Section 10).

5. Accepting and doing jobs

  • A job is yours when you accept the match and GoodNeighbor confirms the price, date, time window, and scope to both sides (per-job confirmation).
  • Arrive in the agreed window. If you are running late, call the customer and GoodNeighbor as early as possible.
  • The customer's address is shared with you only for the agreed job, after the match. Use it only for that job (Section 8).
  • Do the agreed scope to a professional standard. Anything extra the customer requests must be agreed and priced — through GoodNeighbor — before you start it.
  • Take reasonable before/after photos for the job record when the customer agrees (see per-job confirmation). Never photograph people, children, documents, or private items.

6. Conduct

  • Be respectful, sober, and professional. No smoking, vaping, or alcohol on a customer's property. No guests, helpers, or substitutes unless GoodNeighbor approves them in advance (any helper must also be verified).
  • Never solicit a customer's personal contact information for future off-platform work.
  • Report any incident — damage, injury, dispute, unsafe condition, or a request for excluded work — to GoodNeighbor at (661) 371-4804 the same day.

7. Damage and liability

  • You are responsible for damage or loss caused by your negligence or failure to follow the agreed instructions, and for resolving it with the customer in good faith (GoodNeighbor will mediate, Section 9).
  • You are encouraged — and for some categories may be required by GoodNeighbor in writing — to carry your own liability insurance. GoodNeighbor's insurance (where in place) does not cover your work, your vehicle, or your tools.
  • You release GoodNeighbor from claims arising from your work, your driving, and your tools, except claims caused by GoodNeighbor's own negligence.

8. Customer information

A customer's name, phone, address, and job details are confidential and provided only so you can complete their job. Never share, sell, store beyond the job, or use them for any other purpose. Misuse ends your platform access immediately.

9. Disputes

If a customer raises a problem within 24 hours of completion, GoodNeighbor may hold your payout for that job while the facts are reviewed. Possible outcomes include a return fix-it visit, a partial payout, or no payout for work not performed. GoodNeighbor's decision process during the pilot is personal and documented on the job record; act in good faith and keep your documentation (photos, messages, times).

10. No circumvention

Customers introduced to you through GoodNeighbor are platform relationships. For 12 months after an introduction, all work for that customer in GoodNeighbor's categories must be booked through GoodNeighbor. Circumventing the fee — including exchanging contact details to arrange it — ends your access and may make you liable for the fees avoided.

11. Taxes

You are responsible for your own taxes. GoodNeighbor will issue IRS Form 1099-NEC where required by law (generally when you are paid $600 or more in a calendar year). Keep your W-9 information current.

12. Ending the relationship

Either side may end this agreement at any time, for any reason, by notice to the other (text or email is enough). Jobs already confirmed must be completed or formally cancelled. Sections 7, 8, 10, and 11 survive ending the agreement. GoodNeighbor may pause or end your access immediately for unsafe conduct, fraud, circumvention, or repeated no-shows.

13. General

This is the whole agreement between you and GoodNeighbor for platform work, together with each per-job confirmation. California law governs; venue is Kern County, California, after good-faith mediation of any dispute. If any clause is unenforceable, the rest stands.

Pro acknowledgment: I have read this agreement, I understand the 20% fee and the worked example in Section 4, and I agree to these terms.
